1. PURPOSE OF THE POLICY

This Policy describes how we process the Personal Data we collect from visitors of our Website, our App and users of our Service, including where we process Personal Data as a data controller and, in certain circumstances, where we process Personal Data as a data processor/service provider on behalf of our customers (for example, where customers provide us with third-party contact details such as homeowners' contact details for use within the Service). We process such information to provide price recommendations and manage prices and minimum stay restrictions for listings and for any users who access or browse our Website or App.

We may use anonymized reservation data to understand trends and improve our predictions. We do not make the reservation data of any user visible or accessible to any other user. We do not use the reservation data of any user to make recommendations to any other user.

2. PERSONAL DATA COLLECTION

If you sign up for an account, we will collect the contact information you provide, such as your first and last name and email address.

In addition, we collect the following Personal Data for the purpose of billing:

  • Full name, billing address, and email address;
  • Billing information such as your credit card number and expiry date;

We may also receive limited information from third-party booking platforms (such as Airbnb or VRBO) and from any of our other customers (for example, property managers and property management companies) regarding you and your property, and homeowners connected to the listings managed through the Service. This may include name, address, phone number, the location of the property, and, where provided to us by our customers, homeowners' email addresses. Such information about your listings may also include availability, occupancy, prices, reservations/bookings, and some other basic characteristics about your property such as location, amenities, reviews, etc. Such third-party booking platforms are subject to their own terms and conditions.

For clarity, when our customers (for example, property managers) provide us with their customers' or other third parties' (including homeowners') contact details (typically name and email address) (including by manual input, import, and potentially CSV upload functionality), this information is provided by the customer in the context of the customer's relationship with the relevant individual and for the customer's purposes. In those circumstances, the customer is responsible for providing any required notices and for establishing a lawful basis to share such information with PriceLabs, and PriceLabs processes such information on the customer's behalf and in accordance with the customer's documented instructions.

When you create your account, you will be asked to create a password that will not be viewable by us or provide an access token that will not be usable by us.

As part of integrations with third-party systems (including, for example, Online Travel Agencies (OTAs) and Property Management Systems (PMSs)), we may incidentally process personal data related to your guests. This data is not essential to our core operations, and we do not retain such data other than transiently.

Data automatically collected or generated: when you interact with or use our Service or visit our Website or App, we will collect or generate certain technical data about you, either independently or with the help of our Service Providers (as defined below), including through the use of "cookies" and other tracking technologies (as further detailed below). Such data mainly consists of technical or aggregated usage data, such as IP address, data about your device such as operating system and browser, local and language settings used, and your activity on and interactions with our Service.

3. HOW PERSONAL DATA IS USED

We process Personal Data for the following purposes. Some of the purposes below apply where PriceLabs acts as a data controller, and certain processing may also occur where PriceLabs acts as a data processor/service provider on behalf of a customer (for example, to provide, secure, and support the Service in accordance with the customer's instructions).

  1. To provide, improve and maintain the Service;
  2. To authenticate the identity of our users and allow them to access and use our Service;
  3. To provide customer and technical support;
  4. To contact you with general or personalized Service-related messages, or with promotional messages and to facilitate, sponsor, and offer certain events and promotions;
  5. To support and enhance our data security measures, including for the purposes of preventing and mitigating the risks of fraud, error or any illegal or prohibited activity;
  6. To comply with applicable laws and regulations; and
  7. Subject to your consent, if such is required under applicable law, to send you e-mail or other messages and/or newsletters about us or our Service. At any time, you can unsubscribe from our mailing list by clicking on the unsubscribe link on the message or, in the case of essential account related email, delete your account on the Service.

Contact Data Provided by Customers. As noted above, our customers provide us with their customers or other third parties' (including, homeowners) email addresses or other contact details (typically name and email address) (including by manual input, import, and potentially CSV upload functionality) ("Customer Provided Contact Data"). We may process such Customer Provided Contact Data, in our capacity as a service provider to that customer and on the customer's documented instructions, to provide, maintain, and support the Service and related features for our customer (including enabling the customer to manage listings and related workflows), and for security, abuse prevention, compliance, and other purposes described in this Policy, as applicable. We do not use Customer Provided Contact Data, such as contact details, for our own direct marketing or outreach purposes. Our processing of such data is limited to what is relevant and necessary for these purposes and is subject to appropriate safeguards, and we retain it only for as long as needed to provide the Service and for legitimate business purposes such as security, abuse prevention, compliance, and dispute resolution, unless a longer retention period is required by law or otherwise instructed by the customer.

4. PERSONAL DATA SHARING

Like many companies, we use a number of service providers to help us provide the Service. We disclose Personal Data to third-party service providers to help us operate, manage, and protect the Service. These service providers provide us with services such as hosting and server co-location services, analytics, enrichment, data and cyber security, billing and payment processing services, and marketing automation (collectively, "Service Providers").

We share Personal Data internally within our group for the purposes described in this Policy. A merger, acquisition, or any other structural change will require us to transfer Personal Data to another entity as part of the structural change, provided that the receiving entity will not provide a lesser protection for Personal Data related to you than the level of protection under this Policy.

We will disclose Personal Data with or without notice (a) if required by a subpoena or other judicial or administrative order; (b) where required by law; or (c) at our sole discretion, where we deem it necessary to protect the safety of any individual, the general public, or to preserve our or any third party's rights.

We do not sell or share Personal Data or listing data with third parties for their own purposes. If we are involved in a sale of some or all of our business and assets to a third party, or are a part of any business restructuring or reorganization, we may transfer Personal Data to the said third party. We will take steps to ensure that your privacy rights continue to be protected and will notify you about such changes.

5. COOKIES AND OTHER TRACKING TECHNOLOGIES

Our Service utilizes "cookies," anonymous identifiers, pixels, container tags, and other technologies in order for us and third party providers of such technologies to provide and monitor our Service, to ensure that it performs properly, to analyze our performance and marketing activities, and to personalize your experience. Such "cookies" and similar files or tags may also be temporarily placed on your device.

To learn more about our practices concerning "cookies" and other tracking technologies, please see our Cookies Policy.

6. PERSONAL DATA RETENTION

We retain different types of Personal Data for different periods, depending on the purposes for processing such Personal Data, our legitimate business purposes, as well as pursuant to legal requirements under applicable laws. Where we process Personal Data on behalf of a customer as a data processor/service provider, we retain such Personal Data for the duration of the applicable customer relationship and thereafter as instructed by the customer and/or as required to comply with applicable law or to establish, exercise, or defend legal claims.

We will keep aggregated non-identifiable information without limitation, and to the extent reasonable, we will delete or de-identify potentially identifiable information when we no longer need to process the data in an identifiable form.

We maintain an end-of-service deletion process. Upon account termination or cancellation, we will provide a 30 day grace period to allow the account owner (or, where applicable, the customer acting as Data Controller) to export data from the Service. After the grace period, we will delete or de-identify Personal Data associated with the terminated or cancelled account, unless we must retain certain information to comply with applicable law or to establish, exercise, defend legal claims fraud prevention or any other legitimate business purpose. Where we process Personal Data on behalf of a customer as a data processor/service provider, we will delete or return such Personal Data in accordance with the customer's documented instructions and applicable law.

7. CROSS-BORDER DATA TRANSFERS

We are a global company. We process Personal Data in the United States, the European Union, India, and other locations as reasonably necessary for the proper performance and delivery of our Service, or as may be required by law. Nevertheless, the storage of Personal Data is done solely in the United States.

When transferring Personal Data outside of the European Economic Area ("EEA") and the United Kingdom, we comply with the applicable legal requirements of providing adequate safeguards, including the use of standard contractual clauses adopted by the European Commission and the addendum to such clauses adopted by United Kingdom Information Commissioner's Office. We rely on similar safeguards as required for transfers from other jurisdictions, such as Switzerland.

If you are a resident of the EEA (or any other jurisdiction that applies privacy in the same manner as GDPR), the transfer of Personal Data related to you is also based on GDPR Article 49(1)(b), as it is necessary for the performance of a contract or the implementation of pre-contractual measures.

8. COMMUNICATIONS

If you provide us with your contact details, we will use your phone number or your email address to send communications in order to contact you about the use of our Service or to promote services that we believe you will be interested in.

If you communicate with us, phone calls may be recorded for staff training or sales quality purposes.

If you do not wish to receive such communications, you may notify us at any time by sending an email to: [email protected], or by following the "unsubscribe," "stop," "opt-out," instructions contained in the communications you receive or by navigating to the "Email Preferences" section on the PriceLabs product.

9. PERSONAL DATA SECURITY

We maintain the confidentiality of Personal Data related to you, and we take reasonable steps to ensure that the Personal Data is accurate, complete, current, and reliable for its intended use. We take reasonable measures to protect Personal Data from loss, misuse, unauthorized access, disclosure, alteration, and destruction.

We have put in place appropriate physical, electronic and organizational procedures designed to safeguard and secure personal data related to you from loss, misuse, unauthorized access or disclosure, alteration or destruction.

Although we make efforts to protect your privacy, we cannot guarantee that the Service will be immune from cyber-attacks, malicious activities, malfunctions, honest mistakes, or other types of abuse and misuse.

10. SPECIFIC PROVISIONS FOR MOBILE APP USERS

This Privacy Policy governs your use of the App. Except as expressly stated otherwise in this section, the collection, use, disclosure, retention, and protection of Personal Data in connection with the App shall be consistent with the practices described in this Policy.

Data Collection in the App. The App does not engage in any collection of Personal Data that is distinct from the data collected through the web-based Service. For the avoidance of doubt, we do not collect precise geolocation data via the App, nor do we collect unique device identifiers other than the technical and usage data expressly described in this Policy.

Device Permissions and Notifications. The App does not require access to your camera, contact list, or microphone. The App may request permission to send you push notifications, including service-related and transactional notifications. If you provide such consent, we may send you notifications pertaining to the operation of the Service and your account. We may separately request your consent to send you push marketing notifications. You may withdraw your consent and opt out of receiving notifications at any time through your device settings and, where applicable, through in-app notification settings.

Billing and Payments. No payments are processed within the App. All billing and payment processing are conducted exclusively via our web platform, and no additional Personal Data related to billing or payments is collected through the App.

Third-Party Links in the App. The App does not contain links to third-party services, including but not limited to maps or external support tools.

11. SPECIFIC PROVISIONS FOR EEA RESIDENTS

The Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 ("GDPR"), the UK General Data Protection Regulation ("UK GDPR"), and the Swiss Federal Act on Data Protection ("FADP") provide residents of the EEA, the United Kingdom (UK), and Switzerland specific rights regarding Personal Data. If the GDPR, the UK GDPR, or the FADP applies to the processing of Personal Data related to you by us (i.e., you are a resident of a territory in the European Economic Area ("EEA"), the United Kingdom, or Switzerland), then the terms listed in this section apply, in addition to your rights under this Policy.

We base our processing of Personal Data as a Data Controller (as defined below) on the following lawful bases:

  • All processing of Personal Data related to you which is not based on the lawful grounds indicated below is based on your consent. You have the right to withdraw your consent at any time.
  • We will rely on our legitimate interests, which we believe are not overridden by your fundamental rights and freedoms, for protecting our Service from abuse, fraud, or security risks, or in developing, improving, or promoting our Service, including when we train our models. This may include the processing of account information, content, and technical information.
  • We will process Personal Data related to you to comply with a legal obligation and to protect yours and others' vital interests.

At any time, you can contact us at [email protected] and request to exercise your rights in accordance with the provisions provided by law:

  • You are entitled to access the Personal Data that we keep about you together with data about how and on what basis the Personal Data is being processed and to rectify when such data is inaccurate. If you find that the Personal Data related to you is not accurate, complete or updated, then please provide us with the necessary data to correct it.
  • You can contact us if you want to withdraw your consent to the processing of Personal Data related to you. Exercising this right will not affect the lawfulness of processing based on consent before its withdrawal.
  • You are entitled to request to delete or restrict access to Personal Data related to you in limited circumstances as described under the GDPR, the UK GDPR, or the FADP, subject to certain exceptions. If we need to delete personal data related to you following your request, it can take time until we completely delete residual copies of personal data related to you from our active servers and from our backup systems.

If you exercise one (or more) of the above-mentioned rights, in accordance with the provisions under the law, you are entitled to request to be informed that third parties that hold Personal Data related to you, in accordance with this Policy, will act accordingly.

  • You are entitled to request the transfer of Personal Data related to you in accordance with your right to data portability.
  • You are entitled to object to the processing of Personal Data related to you, for example in relation to direct marketing.
  • You have the right not to be subject to a decision based solely on automated processing, including profiling, which produces legal effects concerning you or similarly significantly affecting you.
  • You have the right to obtain a copy of or access to safeguards under which Personal Data related to you is transferred outside of the EEA, UK or Switzerland.
  • You have a right to lodge a complaint with a data protection supervisory authority.

We will look into your query and make good-faith efforts to resolve any existing or potential dispute with you. Note that when you send us a request to exercise your rights, we will need to reasonably authenticate your identity and location. We will ask you to provide us with credentials to make sure that you are who you claim to be and will further ask you questions to understand the nature and scope of your request.

Where we process Personal Data as part of the Service, as a data processor (or a sub-processor) of our customers (including, for example, homeowner contact details such as homeowners' email addresses provided to us by customers), we are committed to assisting our customers to fulfill the abovementioned rights under the GDPR, the UK GDPR, CCPA, or the FADP. Our customers are responsible for providing any required notices and obtaining any applicable lawful basis for the relevant data subjects whose information they provide to us and for our processing of such data on their behalf.

We conduct periodic assessments of our data processing and privacy practices to ensure compliance with this Policy and to verify that the Policy is displayed properly and is accessible.

If you have any concerns about the way we process Personal Data related to you, you are welcome to contact our privacy team at [email protected] or write to us: 211 W Wacker Dr, Ste 120, Chicago, IL 60606, United States.

12. RIGHTS OF CALIFORNIA RESIDENTS

We may collect personal information about California residents who are afforded additional rights under the California Consumer Privacy Act, Cal. Civ. Code §§ 1798.100 et seq. (the "CCPA"). California residents have the right to request that PriceLabs (i) provide you with access to, including the specific pieces of, the Personal Information that we hold about you, (ii) provide information about the categories of personal information we have collected about you, the categories of sources from which such information was collected, the business or commercial purposes for collecting, disclosing, or sharing such information, and the categories of third parties to whom we disclose such information, (iii) correct your Personal Information, (iv) delete your Personal Data, and (v) opt-out of the sale or sharing of your Personal Data. You or your authorized agent may request any of these by contacting us via email at [email protected]. Upon your request, we will verify that you are the person making this request and in order to do so, we may request identification documents from you. We may also request information from you or your authorized agent to verify the agent is authorized to act on your behalf.

You also have a right against discrimination for exercising any of these rights, which PriceLabs is committed to upholding and honoring.

We disclose the following categories of personal information to service providers, contractors, and, where applicable, other third parties for the business and commercial purposes described in this Policy:

For California residents, in the preceding 12 months we have collected the following categories of personal information, to the extent applicable to your interactions with us: identifiers and contact information; customer records information, including billing and payment-related information; commercial information; internet or other electronic network activity information; audio information where calls are recorded; geolocation information derived from IP address or property/listing information; and professional or business-related information. We collect personal information from the following sources: directly from you, automatically through your use of the Service, Website, or App, from third-party platforms and integrations, and from our customers and business partners, as further described in this Policy. In the preceding 12 months, we have disclosed these categories of personal information for business purposes to service providers, contractors, affiliates, legal or regulatory authorities where required by law, and parties involved in a corporate transaction, as further described in this Policy. We retain personal information for the periods described in Section 6 of this Policy, based on the purposes for which it was collected, the duration of the relevant relationship, legal obligations, and our need to establish, exercise, or defend legal claims.

We do not "sell" or "share" (as those terms are defined in the CCPA) your personal information, including the personal information of anyone under the age of 16. If our practices change, we will update this Policy in accordance with Section 14 and provide any notices and opt-out rights required by applicable law. We also do not use or disclose sensitive personal information for purposes other than those permitted by the CCPA/CPRA and therefore are not required to offer a right to limit its use or disclosure.

13. DATA CONTROLLER/PROCESSOR

We are the Data Controller of our site visitors' and customers' Personal Data. We act as a Data Processor with respect to any Personal Data that we process on behalf of our customers, as detailed under Section 3 above, and only to the extent and for the purposes described in this Policy and/or our agreement(s) with the applicable customer.

Certain data protection laws and regulations, such as the GDPR, typically distinguish between two main roles for parties processing Personal Data: the "Data Controller", who determines the purposes and means of processing; and the "Data Processor", who processes the data on behalf of the Data Controller. The roles described below apply to our Platform only to the extent such laws and regulations apply, and may be supplemented by our agreements with customers (including any applicable data processing addendum).

PriceLabs is the "Data Controller" of the Personal Data we collect and process in our capacity as a business (for example, in connection with operating our Website or App and providing our services to customers), and assumes the responsibilities of a Data Controller solely to the extent applicable under law, as described in this Policy.

Any Personal Data that PriceLabs receives, accesses, or processes solely on a customer's behalf will be controlled by the customer. In those circumstances, the customer is the "Data Controller" (or "business" under certain U.S. privacy laws) and PriceLabs is the customer's "Data Processor" (or "service provider/contractor", as applicable). This means that we process such Personal Data on the customer's behalf, and in accordance with the customer's documented and reasonable instructions and our agreement(s) with the customer. The customer is responsible for determining and communicating the purposes and legal bases for processing and for complying with Data Controller/business obligations that apply to the data it controls (including responding to data subject rights requests relating to such data), subject to applicable law and any contractual allocation of responsibilities.

If you would like to make any requests or queries regarding Personal Data that we process on a customer's behalf as a Data Processor/service provider, please contact the relevant customer directly. For example, if you wish to access, correct, delete, restrict, or object to processing of Personal Data processed by PriceLabs on behalf of a customer, please direct your request to that customer (as the "Data Controller" or "business" of such data). If we receive such a request directly, we may (to the extent permitted by law) refer it to the relevant customer and/or assist the customer in responding in accordance with our contractual obligations.

14. CHANGES TO THIS POLICY

From time to time, we will need to update this Policy. If the updates have minor consequences, they will take effect seven (7) days after we post a notice on the Service, the App and the PriceLabs Website, or after we send you the notice via email. Substantial changes will be effective thirty (30) days after we initially post our notice.

Continuing to use the Service after the new Policy takes effect means that you agree to the new policy. Note that if we need to adapt the Policy to comply with legal requirements, the new Policy will become effective immediately or as required.

15. CONTACT US

If you have any comments or questions regarding our Policy, or if you have any concerns regarding personal data related to you held with us, or if you wish to make a complaint about how Personal Data related to you is being processed by us, you can contact us at [email protected].
